THIS DEED OF TRUST is made and entered into at Dhaka on this the __________day of________________ two thousand ------------ of this Christian era. BETWEEN ROBERT BOSCH (BANGLADESH) LIMITED, registered under The Companies Act 1994 of Bangladesh, having its registered office at “Shikharaa Jolchhobi”, House-40/8 (8th Floor) Road-92, Gulshan North Avenue Gulshan-2, Dhaka- 1212, Bangladesh, (hereinafter referred to as the “Company') represented by its Chairman, Mr. Soumitra Bhattacharya, of the ONE PART. AND 1. Mr. Sabbir Mortuza, nominated by Management- Chairman of the Trust 2. Mr. Md Shah Alam, nominated by Management - Secretary of the Trust 3. Ms. Syeda Tanzina Shadat, nominated by workers of the Company- Member of the Trust 4. Mr. Kazal Chandra Paul, nominated by workers of the Company- Member of the Trust (hereinafter jointly referred to as the “Trustees”, which expression shall unless repugnant to the context or meaning thereof, be deemed to include their successor-in-office or other Page 1 of 19 Trustees pursuant to the provisions of this instrument and the provisions of Chapter XV of the Bangladesh Labour Act, 2006, Rules 2015 and subsequent amendments thereon, of the OTHER PART. PRELUDE: WHEREAS the Company within the meaning of Section 232 of the Bangladesh Labour Act, 2006 (popularly known as the “Act') and in accordance with Section 234 read with Section 235 of the Act is under an obligation to constitute a Trust for the purpose of Management and operation of the Workers Participation and Welfare Funds for the benefit of the “workers” as defined in Section- 2 (65) of Chapter-I of the Act., as such the Company established a Fund with effect from financial year ended December 2018. The Company whereas intends to form a trust deed under Bangladesh Labour Act, 2006 and Bangladesh Labour Rules 2015 (hereinafter referred to as the “Trust Rules”); Whereas the management of the Company felt it necessary to form a Board of Trustee and set out Rules for it to operate the Workers’ Profit Participation Fund and welfare fund as per provision of the Bangladesh Labour Act 2006 and amendment thereon and Bangladesh Labour Rules 2015. AND WHEREAS the Trustees above named have consented to act as Trustees hereof, who have been nominated by the Management and the 'workers' of the Company respectively.
